§ 1 DEFINITIONS
Business Days – days from Monday to Friday excluding public holidays in Poland.Consumer – a natural person purchasing in the Store or taking actions aimed at making a purchase, not directly related to their business or professional activity.
Account – a digital service governed by separate terms and conditions, as defined by the Consumer Rights Act, which allows the Buyer to use additional functions in the Store free of charge.
Buyer – any entity purchasing in the Store or taking actions aimed at making a purchase.
Privileged Buyer – a Consumer or Privileged Entrepreneur.
Privileged Entrepreneur – a natural person concluding or intending to conclude a contract with the Seller under these Terms and Conditions, directly related to their business activity, but not of a professional nature for them.
Pickup Point – the point located at Działkowa 67, 02-234 Warsaw.
Terms and Conditions – these terms and conditions.
Store – the Nexa24 online store - Nexa Trade Sp. z o.o., operated by the Seller at www.nexa24.pl.
Seller – NEXA TRADE LIMITED LIABILITY COMPANY with its registered office at ul. Kineskopowa 1C/127, 05-500 Piaseczno, entered in the Register of Entrepreneurs of the National Court Register by the DISTRICT COURT FOR THE CAPITAL CITY OF WARSAW IN WARSAW, XIV COMMERCIAL DIVISION OF THE NATIONAL COURT REGISTER, under KRS number 0001105544, NIP 1133134125, REGON 52863046500000, share capital: 100,000.00 PLN, paid-up capital: 9,500.00 PLN.
Consumer Rights Act – the Polish Act of 30 May 2014 on consumer rights.

- The cost of a telephone call or data transmission made by the Buyer depends on the base tariff of the telecommunications or internet service provider used by the Buyer. The Seller notes that the cost of international calls or data transmission may be higher than domestic rates – depending on the tariff of the provider used by the Buyer.
§ 3 TECHNICAL REQUIREMENTS
- For the proper functioning of the Store, the following are required:
- a device with internet access
- a web browser that supports JavaScript and cookies
- To place an order in the Store, in addition to the requirements specified in point 1, an active email account is necessary.
§ 4 SHOPPING IN THE STORE
- Product prices visible in the Store are total prices for the product.
- The Seller notes that the total order price consists of the product price shown in the Store and, if applicable, delivery costs.
- The selected product must be added to the cart in the Store.
- Next, the Buyer selects the delivery method and payment method from the available options, and provides the necessary data to process the order.
- The order is placed when the Buyer confirms its content and accepts the Terms and Conditions.
- Placing an order is equivalent to concluding a contract between the Buyer and the Seller.
- The Buyer can register in the Store, i.e., create an Account, or make purchases without registration by providing their data for each order.
§ 5 PAYMENTS
- The following payment methods are available in the Store:
- regular bank transfer to the Seller’s bank account;
- by payment card:
- Visa
- Visa Electron
- MasterCard
- MasterCard Electronic
- Maestro
- via a payment platform:
- Autopay
- cash on delivery, i.e., by card at the time of delivery to the Buyer;
- by card or cash at the time of personal pickup.
- In the case of choosing the Autopay payment platform, the online payment service is provided by Autopay S.A.
- If the Buyer selects advance payment, the order must be paid for within 3 Business Days from the order date.
- By shopping in the Store, the Buyer accepts the use of electronic invoices by the Seller. The Buyer has the right to withdraw their acceptance.
§ 6 ORDER FULFILLMENT
- The order fulfillment time is specified in the Store.
- If the Buyer has chosen prepayment, the Seller will start processing the order after receiving the payment.
- If the Buyer purchases products with different delivery times in one order, the order will be fulfilled according to the product with the longest delivery time.

- Poland
- Czech Republic
- Slovakia
- Germany
- Hungary
- The following delivery methods are available in the Store:
- via courier to the address provided by the Buyer;
- via Poczta Polska (Polish Post);
- to a parcel locker;
- to a pickup point;
- to InPost parcel machines.
- The Buyer may personally collect the goods at the Pickup Point during its opening hours.
- If the Buyer chooses personal collection, the goods will be ready for pickup by the indicated order fulfillment date.
§ 7 RIGHT OF WITHDRAWAL FROM THE CONTRACT
- A privileged Buyer has the right to withdraw from the contract concluded with the Seller via the Store, subject to § 8 of the Terms and Conditions, within 14 days without giving any reason.
- The withdrawal period expires after 14 days from the day:
- on which the privileged Buyer received the goods or on which a third party other than the carrier and indicated by the privileged Buyer received the goods;
- on which the privileged Buyer received the last item, batch, or part, or on which a third party, other than the carrier and indicated by the privileged Buyer, received the last item, batch, or part, in the case of a contract involving multiple items delivered separately, in batches or in parts.
- To exercise the right of withdrawal, the privileged Buyer must inform the Seller, using the contact details provided in § 2 of the Terms and Conditions, of their decision to withdraw by means of an unambiguous statement (e.g., a letter sent by post or email).
- The privileged Buyer may use the sample withdrawal form at the end of the Terms and Conditions, but it is not mandatory.
- To meet the withdrawal deadline, it is sufficient for the privileged Buyer to send the information concerning the exercise of the right of withdrawal before the deadline expires.
CONSEQUENCES OF WITHDRAWAL - In the event of withdrawal, the Seller will reimburse all payments received from the privileged Buyer, including the cost of delivery (except for additional costs resulting from a delivery method other than the cheapest standard delivery offered by the Seller), without delay and in any event no later than 14 days from the day the Seller was informed of the Buyer’s decision to withdraw.
- The refund will be made using the same payment method as used by the privileged Buyer in the original transaction, unless the Buyer agrees otherwise. In any case, the Buyer will not incur any fees in connection with the refund.
- If the Seller has not offered to collect the goods, they may withhold the refund until they receive the goods or proof of their return, whichever comes first.
- The Seller requests that returns be sent to the following address: Działkowa 67, 02-234 Warsaw without undue delay and in any event no later than 14 days from the day the privileged Buyer informed the Seller of the withdrawal. The deadline is met if the Buyer sends the goods before the 14-day period expires.
- The privileged Buyer bears the direct cost of returning the goods.
- The privileged Buyer is responsible only for the reduction in the value of the goods resulting from handling them in a way other than what is necessary to establish the nature, characteristics, and functioning of the goods.
- If the goods, by their nature, cannot be returned by ordinary post, the privileged Buyer will also bear the direct costs of returning the goods. The estimated cost will be provided by the Seller in the product description or during the ordering process.
- In the event that a refund is required for a transaction made by card, the Seller will refund the amount to the bank account linked to that payment card.
§ 8 EXCEPTIONS TO THE RIGHT OF WITHDRAWAL
- The right to withdraw from a distance contract, referred to in § 7 of the Terms and Conditions, does not apply to contracts:
- for goods that are not prefabricated and are made to the privileged Buyer’s specifications or clearly personalized;
- for goods that are perishable or have a short shelf life;
- for goods delivered in sealed packaging that cannot be returned after opening due to health protection or hygiene reasons, if the packaging was opened after delivery;
- for goods which, after delivery, are inseparably mixed with other items due to their nature;
- for sealed audio or video recordings or computer software, if unsealed after delivery;
- for the supply of newspapers, periodicals, or magazines, except for subscription contracts;
- where the price or remuneration depends on fluctuations in the financial market beyond the Seller’s control, which may occur before the withdrawal period expires.
§ 9 COMPLAINTS
I GENERAL PROVISIONS
- The Seller is liable to the Privileged Buyer for compliance of the performance with the contract, as provided by applicable law, in particular the Consumer Rights Act.
- The Seller requests that complaints (including those regarding the operation of the Store) be submitted to the postal or electronic address specified in § 2 of the Terms and Conditions.
- If a product is covered by a warranty, information about it and its terms is available in the Store.
- The Seller will respond to the complaint within 14 days from the date of its receipt.
II PRIVILEGED BUYERS
- Goods
- If the goods do not conform to the contract, the Privileged Buyer may exercise the rights provided in Chapter 5a of the Consumer Rights Act.
- The Seller is liable for non-conformity existing at the time of delivery and disclosed within two years, unless the expiry date set by the Seller or its legal predecessors is longer.
- Under the Consumer Rights Act, in the event of non-conformity, the Privileged Buyer may demand:
- replacement of the goods,
- repair of the goods.
- Additionally, the Privileged Buyer may declare:
- price reduction,
- withdrawal from the contract
- The Seller refused to bring the goods into conformity (Article 43d.2 of the Consumer Rights Act);
- The Seller failed to bring the goods into conformity (Article 43d.4–6);
- Non-conformity persists despite attempts to fix it;
- The non-conformity is significant enough to justify immediate price reduction or withdrawal;
- It is evident the Seller won’t bring the goods into conformity in a reasonable time or without major inconvenience.
- In case of repair or replacement, the Privileged Buyer must make the product available. The Seller will collect it at their own expense.
- The Buyer may not withdraw from the contract if the non-conformity is insignificant.
- Upon withdrawal, the Privileged Buyer must return the product immediately, at the Seller’s cost, to: Działkowa 67, 02-234 Warsaw. The Seller will refund the price within 14 days of receiving the product or proof of return.
- The Seller will refund any amount resulting from a price reduction immediately, no later than 14 days from receiving the Buyer’s declaration.
- Out-of-court dispute resolution
- The Seller informs Consumers of the possibility to use out-of-court dispute resolution. Access rules are available at the offices or websites of authorized institutions. Consumers may use:
- Help from the European Consumer Centre Network (ECC-Net), which provides information and assists with cross-border disputes. ECC-Net help is generally free. List available at: https://konsument.gov.pl/eck-w-europie/
- The EU’s Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr
Note: The ODR platform will cease accepting complaints as of March 20, 2025.
- Mediation by the local Provincial Inspectorate of Trade Inspection (free in principle): https://uokik.gov.pl/kontakt-inspekcja-handlowa
- Assistance from the permanent consumer arbitration courts at the Provincial Inspectorates: https://uokik.gov.pl/kontakt-inspekcja-handlowa
- This clause is for informational purposes and does not constitute an obligation on the Seller to use out-of-court dispute resolution.
- Out-of-court methods are voluntary for both the Seller and the Consumer.
- The Consumer may also seek free assistance from a municipal or district consumer advocate.
- The Seller informs Consumers of the possibility to use out-of-court dispute resolution. Access rules are available at the offices or websites of authorized institutions. Consumers may use:
III BUYERS OTHER THAN PRIVILEGED BUYERS
- To avoid doubt, the Seller notes that liability to non-privileged Buyers in relation to complaints is governed by § 11 point 7.
§ 10 PERSONAL DATA
- The Seller is the controller of personal data provided by the Buyer during Store use. Detailed data processing rules – including purposes, legal bases, and recipients – are found in the Store’s privacy policy under the GDPR transparency rule.
- The purpose of data processing by the Seller in connection with purchases is order fulfillment. Legal basis:
- contract or pre-contract actions (Art. 6(1)(b) GDPR),
- legal obligations, especially in accounting and product safety (Art. 6(1)(c) GDPR),
- legitimate interest in establishing, exercising, or defending legal claims (Art. 6(1)(f) GDPR).
- Providing data is voluntary but necessary to conclude a contract. Without data, the contract cannot be concluded.
- Buyer's data will be processed until:
- the contract expires,
- the Seller’s legal obligation expires,
- claims can no longer be pursued,
- the Buyer’s objection is upheld (if data is processed on legitimate interest basis)
- Buyers have the right to request:
- access,
- rectification,
- deletion,
- restriction,
- data portability,
- objection on grounds related to their specific situation (Art. 6(1)(f) GDPR).
- To exercise rights, contact the Seller using the details in § 2.
- If the Buyer believes data is unlawfully processed, they may lodge a complaint with the data protection authority – in Poland, this is the President of the Personal Data Protection Office.
§ 11 RESERVATIONS
- It is forbidden to submit unlawful content.
- Each order constitutes a separate agreement and requires separate acceptance of the Terms. The agreement is concluded for the duration and purpose of fulfilling the order.
- All contracts based on these Terms are governed by Polish law, subject to point 4.
- Choosing Polish law does not deprive Consumers of protections granted under mandatory laws of their own country if no choice of law had been made. If these protections are broader, they shall apply.
- Contracts are concluded in Polish.
- For disputes with non-privileged Buyers, the competent court shall be the one with jurisdiction over the Seller’s seat.
- To the extent permitted by law, the Seller excludes liability toward non-privileged Buyers for contracts made via the Store.
